Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement ("Agreement") govern your use of the financial advisory services and proprietary tools provided by Nightingale Strategic Finance ("we," "our," or "us"). By engaging our services or authorizing our access to your financial platforms, you agree to be bound by this Agreement.

1. Services Provided

Nightingale Strategic Finance provides financial advisory, accounting support, and strategic consulting services to small and medium-sized businesses. As part of these services, we may use proprietary software tools and API integrations — including connections to QuickBooks Online — to access, analyze, and present your financial data on your behalf.

2. License Grant

We grant you a limited, non-exclusive, non-transferable license to use any reports, dashboards, financial models, or analyses we prepare for you solely for your internal business purposes. You may not resell, sublicense, or distribute our work product without our prior written consent.

Our services may involve connecting to third-party platforms such as QuickBooks Online (Intuit Inc.). Your use of those platforms is governed by their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or security practices of third-party platforms. By authorizing our access, you represent that you have the right to grant such access under the applicable platform's terms.

5. Confidentiality

We treat all client financial data as strictly confidential. We will not disclose your financial information to any third party except as required by law or with your explicit written consent. Our confidentiality obligations survive the termination of our engagement.

6. Intellectual Property

Any proprietary tools, scripts, models, or methodologies we use to deliver services remain the intellectual property of Nightingale Strategic Finance. Financial reports and analyses prepared specifically for you are provided for your use as described in Section 2. Your underlying financial data remains your property at all times.

7. Disclaimer of Warranties

Our services are provided on an "as is" basis. While we strive for accuracy in all financial analyses and reports, we make no warranty that our work product is free from error. Financial analyses and projections are based on information available at the time of preparation and should not be relied upon as guaranteed outcomes.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Nightingale Strategic Finance shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to our services, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the fees paid by you to us in the three (3) months preceding the claim.

9. Termination

Either party may terminate the engagement at any time with reasonable written notice. Upon termination, you should revoke any API access authorizations granted to us through your respective platform account settings. Sections 5, 6, 7, and 8 of this Agreement survive termination.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

11. Changes to This Agreement

We reserve the right to update this Agreement from time to time. Updated versions will be posted on this page with a revised effective date. Continued engagement of our services after such changes constitutes acceptance of the revised terms.
